Company Secretarial
When you're running a limited company, there's some administration you need to do which is called 'Company Secretarial' administration.
The main administrative function you'll need to do every year is file your confirmation statement. This statement gives details of the company directors, registered office and shareholders as well as Persons of Significant Interests. It costs £13 to file and you are at risk of a fine and your company being struck off if you do not file this in time.
You must also tell Companies House about other changes to your limited company, including:
- directors and company secretaries, eg new appointments, resignations or changes to their personal details
- changing your company name
- changing your registered office address
- changing your accounting reference date
- changing where your company records are kept, if different from your registered address
- which records you’ll keep at an alternative address
- changes to your company’s share structure, eg if you issue new shares
- details of any new mortgages it has or mortgages it has paid off
Confirmation Statement
You can file both your confirmation statement, and other changes to your company as listed above, by following these instructions:
- Go to https://www.gov.uk/government/organisations/companies-house
- Click on 'File your confirmation statement (annual return)'
- Click on 'Start Now'
- Enter your email address and password - if you cannot remember your password click on 'Forgotten your password' to have this reset
- If you are not already registered as a user, click on the 'Register' button on the top left of the screen
- Once you are logged in, you need to sign in to a company as follows:
- Enter the company number
- Enter the company authentication code - if you don't have a code, please speak to us as we may have a record of it. If not, you can request an authentication code and it will arrive through the post to the company's registered office within 7 days
- Click on the 'Sign In' button
- On the right hand side of the screen you'll see a blue 'File confirmation statement' button - click on this and follow the instructions on screen.
- There is a small fee for filing your annual return online - currently £34.
